
Sony, it seems, will not acquire Kadokawa outright. Instead, the giant Japanese organisations have today announced a strategic capital and business alliance, which will see Sony become Kadokawa’s largest shareholder.
The deal, scheduled to go through on 7th January, will see Sony purchase 12,054,100 fresh shares in the company, for a fee of ¥50 billion (~$320 million). It already owned a 2% stake.
A press release reads: “With the acquisition of the new shares, Sony will become Kadokawa’s largest shareholder, holding approximately 10% of its shares, including the shares Sony previously acquired in February 2021.”
The correspondence continues that the tightened relationship will “maximise both companies’ IP value globally and facilitate wider and deeper collaboration, such as potential joint investments in the content field, joint discovery of new creators, and joint promotion of further media mixes of both companies’ IP”.
It adds: “In the future, the two companies plan to discuss specific initiatives for collaboration, such as initiatives to adapt Kadokawa’s IP into live-action films and TV dramas globally, co-produce anime works, expand global distribution of Kadokawa’s anime works through the Sony Group, further expand publishing of Kadokawa’s games, and develop human resources to promote and expand virtual production.”
To be honest, while we’ll need to wait for more details to emerge, this seems like the best possible outcome for all involved. Kadokawa maintains its ownership and autonomy, but it now enjoys an even stronger relationship with Sony, which should help both companies to achieve their respective aims.
“Through this capital and business alliance, we will become the largest shareholder of Kadokawa, which consistently creates a wide variety of IP, including publications and books, such as light novels and comics, as well as games and anime,” Sony boss Hiroki Totoki said. “By combining Kadokawa’s extensive IP and IP creation ecosystem with the strengths of Sony, which has promoted the global expansion of a wide range of entertainment, including anime and games, we plan to work closely together to realize Kadokawa’s 'Global Media Mix' strategy, aimed at maximizing the value of its IP, and Sony's long-term vision, 'Creative Entertainment Vision’.”
Kadokawa’s head honcho Takeshi Natsuno added: “We are confident that this will greatly contribute to maximizing the value of our IP and increasing our corporate value in the mid- to long-term. We intend to do our utmost to ensure that our collaborative efforts with Sony produce great results in the global market.”
Who Is Kadokawa?
Kadokawa is a Japanese media conglomerate with its finger in a lot of pies. Primarily, it’s a leading business when it comes to comics and light novels, but it also owns the rights to a lot of valuable intellectual property.
Among its subsidiaries are game developers Spike Chunsoft and Acquire, although the piece de resistance of its gaming division is FromSoftware, the creator of Elden Ring.
Why Does Sony Want to Strengthen Its Relationship with Kadokawa?
Sony, historically, has always been best known for its electronics. But in recent years it’s slowly transitioned into an entertainment company, with Sony Pictures Entertainment, Sony Music Entertainment, and Sony Interactive Entertainment among its flagship divisions.
The company has specifically bet big on the ever-spiralling popularity of anime, buying up streaming services like Crunchyroll and Funimation. But it’s complained recently it doesn’t have enough IP, so this relationship with Kadokawa will give it access to a wealth of content.
Will FromSoftware Start Making Exclusives for PS5?
It’s really important to remember that FromSoftware has always had a long and strong relationship with PlayStation, and Sony has published many of the developer’s seminal games, including Demon’s Souls and Bloodborne.
However, we can’t imagine much will change moving forward. Sony may be poised to become Kadokawa’s biggest shareholder, but it still only owns a 10% stake.
It’s possible future titles may be marketed more heavily on PS5, and the press release does allude to Sony expanding the “publishing of Kadokawa’s games”. But we can’t see any software suddenly becoming exclusive, and we think it’ll be business as usual at FromSoftware for the foreseeable future.

Basically Sony just wanted the IP for Animes and some movies, shame. Makes sense why they wouldn't want to acquire them outright.
But the fact it was even being considered means they have some money for an acquisition spare so hopefully they can get someone else down the line (if they are worth it).
Basically I see this as them learning from ZEE, Bungie and Firewalk. Work with them. See how mis-managed or well-managed they are. Accordingly invest more or keep it the same.
Why would anyone want something not exclusive becoming exclusive is beyond me.

Of course, looking at the latest Xbox sales, there's an argument these titles could eventually become PS5 and PC exclusive anyway. (Assuming the Switch 2 can't run them).
This is the best outcome, stops Kadokawa from a hostile takeover, and allows fans of FromSoftware games to not be worried about any exclusivity shenanigans.

Well, I guess pretty much nothing will change when regarding to games. Quite surprising given that Sony's CEO said their main focus now is acquiring IP.
And personally I was expecting to see they (SIE) way more aggressive in acquiring IPs/studios/manpower etc since it is very clear that they have pipeline problems producing games for their own console (which is the cashcow of the company). Maybe after Bungie and Firewalk, they might think 10 times before making any move in this direction.
Sony owns 10%. They aren’t going to be integrating their other studios with this or anything. They just want some rights to Anime.
The likelihood is we won’t see a change in the gaming world. FromSoftware games will stay multi platform and that’s a good thing.
Now while this is a great defensive option it's possible it's only temporary cuz an alliance can happen to force a takeover to counter this unfortunately

They want Kadokawa because its a trove of IPs, however if they buy Kadokawa they might have to give up their spot in most production committees around Japan.

Seriously - Sony does everything it can to look like it doesn't have a plan. That deal does nothing... helps nothing... going from 2% to 10%. Ok.. I seriously hope Kadokawa has a hostile takeover, and Sony gets bought out. Edit - I'm not for exclusivity - however, Sony needs income generation beyond it's storefront... and at one game (if you're lucky) a year - it's going to fail once they lose the monopoly on sales. The more I see, the less I think they have any idea. A 10% holding doesn't help anything... but just cements the idea that Sony has no money to spend on strategic initiatives, and yet will burn money on pointless vanity projects.
Remember everyone - before you pat their backs - the point of this was (supposedly) to protect Kadokawa from a takeover... from Tencent or Kakao. How does this achieve it?
Edit - and how exactly does this expand Kadokawa's ability to publish? Compared to Tencent driving a big-ol-cash-truck up and dumping money in their lap (which they've done, and can do again)

@Mikey856 sorry - how is this whataboutery exactly? They have literally just kicked the can (as they always do) down the road 6-12 months. This is not strategic acquisition - and I suspect it says something about Sony's financial position that they went this far and didn't bit the bullet - or couldn't negotiate a better (more meaningful) deal. Having the largest stake in a company at 10% doesn't help you stop the other 90% of shareholders selling to your competition. It's bragging rights for PR people.

@Mikey856 don't get me wrong- if Sony did acquire Kadokawa - I would be the first to say keep it multiplatform. I just think that Sony hasn't read the room... hardware-based console ecosystems are going to be harder to justify - or will become unaffordable; store-fronts are incredibly fragile in the current legal environment (especially with a Trump government)... so if Sony loses it's 30% for nothing income... what else is it going to make money on, when it is struggling to make big-seller-games (with a decent ROI). And it is hit by a massive tariff.
AstroBot may have got GotY - but it sold really mildly. It DID have a decent ROI... but the revenue was still relatively small. They need income - and because everyone hates GaaS on Sony (apparently - apart from COD and Fornite and Genshin fans) that means they need content generators. FromSoft was that - especially if it stayed multiplatform.

@breakneck Sony is not "quite friendly" with Bandai but they're like very close brothers, well with Namco to be precise. Sony and Namco has very close relationship even before PS1 launch. You can google the history about PS1 development & Tekken 1.
Exciting for the game side less so for the anime and manga side of things.
sony probably got cold feet after the bungie disaster from buying a company outright..or did not have enough cash for a outright purchase..looking like it was the anime and movie side was most interested in rather then the game side of the company..

Xbox are losing players. Their console sales are down 30% from last year.
It’s the players who are deciding and showing Xbox that they need to change their strategy. and Xbox are responding by releasing more games on PlayStation.

I suspect Sony couldn't afford to swallow the company as a whole and the South Korean and Chinese shareholders refused to sell. So for now Sony has to settle for 10%, i could see Sony slowly acquiring more shares until tennant an co give in and sale up.
In my opinion if Sony never bought Bungie, that probably would of gone for the full acquisition with Kadokawa (or maybe 50% shares)
@Kienda PlayStation owners were punished by microsoft when Bethesda, Obsidian, Ninja Theory, Inxile and Compulsion Games (all 3rd party) were made xbox exclusive so why shouldn't Sony be allowed to return the favour?

I don’t think that western-style buyouts where one company buys the other entirely are particularly a thing in Japan. I don’t know why, maybe a regulatory issue or maybe just the nature of their business culture.

It would render Sony Music Japan basically incapable of working in the anime industry, which is a huge chunk of their revenue and profit.
@Major_Player I don't know if spending a few hundred million means a deal fell through. They both clearly wanted a deal of some kind in the short term and this was the solution to whatever blockers they're currently facing.
Also, didn't Phil Spencer say during the ABK hearing that Sony should buy their own publisher? I'm not sure if any further developments in this deal would bother MS too much. They have their own plans.

@Major_Player as for the lego game on the switch since most lego games sell well on switch it was hoping to capitalize on it but it was a complete flop on the switch sales wise that it is already being discounted to 40 bucks... as for most pc versions they come out much later then on console.

@PSDeckSwitchOwner Exclusives do help move sales for a specific console, that's true. Thing is, Sony already has a bunch of original exclusive IPs under their belt. Problem is that Sony just refuses to revitalize those IPs for the modern audience likr how they've done with God of War. If the only solution to this is to buy a big studio just to have exclusive access to their IPs, then Sony would be no better than MS. I just refuse to adhere to a fanboy mentality where it's suddenly okay for Sony to do unnecessarily big aquisitions all because MS did it.
Besides, MS is already doubling down on their multiplat strategy, heck it wouldn't even be a big surprise if the next TES, Fallout and even Halo games are gonna come to playstation at some point. It's not like MS is doing any better in the competition after aquiring Bethesda and Activision.

Or as some have pointed out, they cant outright buy it because it might affect with their other subsidiaries, since apparently you cant hold too much in Japan before you lose either distribution, ip or production rights or whatever.
Whatever the case, Sony and Kadokawa seem pretty close. I think they have found a way to both get what they want from this situation. And maybe we’ll see more of it soon. End of the day, even though i dont know much about what goes on behind the scenes, i agree with you. Buying them outright would be much more impactful than just acquiring a 10% stake.

@Stevemalkpus nope. Sony never wanted to buy Kadokawa completely but Kadokawa was facing the chances of a hostile takeover so they put an ultimatum to sony. This was the result of those negotiations, this way Sony doesn't need to buy them and Kadokawa is saved from hostile takeover because Sony is the biggest shareholder.
@Major_Player A huge blow in what way? Apart from the Souls IP there's nothing else major they do gaming wise, and now Kodokawa won't be bought by anyone else and us Sony players still get to play their games going forward.
Its a win for all platforms today. The Chinese are kept away, Nintendo get to keep Acquire making their games, Spike Chunsoft can continue making great visual novels and Xbox players can "breathe a sigh of relief".
This is the BEST outcome from this whole situation. As a PS fan of course I want PS to have the best games and FS has that capacity but it was hard to be happy about a situation where you don't know if the devs are just going to leave the moment they are acquired.
Every developer reacts different. You have the Grinding Gear Games who after being acquired by Tencent didn't complain about it and put the work to make POE2 great. Then you have Platinum Games, they have been doing good games for the Switch, Kamiya leaves and now he is saying his creativity would have died if he stayed with PG.
The interest of Sony was in the anime sector more than the vg sector but if after acquiring Kadokawa Miyazaki and others loyal to him leave ... that would have been a huge blow to the value of what they bought even if that wasn't the reason why they bought it in the first place.
Does this mean we now get Anime/Manga versions of Sony's IP going forward? Now that I would like to see. And surely an Elden Ring tv show is a given.
Even a Bloodbourne Remake thrown in with that purchase 😉.
This is the best outcome possible, that way Kadokawa stays independent with a large investment, Sony gets to tighten their relationship with them and they’re not at risk on collapsing themselves as Microsoft is doing with Activision and Xbox.
Some people being sad because FS games won’t be exclusive is just pathetic, just think about it this way, it was a very large undertaking and could’ve put Sony in a position of much needed cash flow that might ended up in Sony publishing games in every platform possible for a short-term gain, sound familiar?

@Major_Player Wow, i didnt know that. Tencent really has its tentacles everywhere it seems. As far as the influence Sony has over Kadokawa i think is pretty minimal. But they do seem to be working very close together, and it seems that most of their goals mostly align with eachother. Seeing as they’ve both expressed interest in a full buyout publicly, this might be a way of just slowly increasing stake over a longer period of time.
Or maybe Sony was met with difficulties in acquiring this company by regulators. Some talk about Japanese companies cant hold too much of distribution, ip, or production of anime or something?
This way they helped Kadokawa with their fears of a hostile takeover. Being the largest shareholder now, instead of Kakao(if i remember correctly) puts them in a position to atleast have some say in a potentional hostile takeover situation.

Obviously you forget in the Spring of this year, quick Google search, Sony was going to purchase Paramount for $26 billion all cash. Paramount merged with Skydance for $2 billion more.

This is the best possible outcome. Everybody wins, Kadokawa remains Japanese, Sony gets new IPs, everyone gets games, and I get Live action films. I see this as an absolute win.

@UltimateOtaku91 You can deflect the conversation all you want in order to make up for your disappointment, but the reality is PlayStation have been making exactly the same steps into multiplatform as Microsoft has...first the PC, then mobile, Live Service games, acquiring studios keeping games multiplatform like Bungie and now into other platforms with Lego Horizon...it's just taking them longer to go full circle.
Heck there are actual rumors that Lego Horizon might actually be on Xbox and not on PS4.

How can anyone comment on a deal when they don't have a clue what happened behind closed doors, this deal might be the deal they wanted all along we just don't know and we can't speculate. I personally think this is a good thing for all and in the end gamers don't miss out, we all get to play From Software games which is great as for what Microsoft might make exclusive we just don't know, I was very shocked to see that the OuterWorlds 2 will be mulit platform so you never know what games will be exclusive or not.

I think the most likely reason is, either the leak caused stocks to increase too much for it to be financially viable for Sony.
Or they were met with scrutiny by regulators and realized it would affect their other subsidiaries, since apparently you have to relenquish control of distribution, ip or production after a certain amount of ownership, at least that is what i read from some users here.

So whats your point? Ofcourse Sony is trying to pivot where the industry is going, and sometimes they will make wrong decisions.

Skydance merged with Paramount in July making the value of the new company more than the $26 billion Sony was willing to pay.

@PSDeckSwitchOwner last time Playstation tried locking publishers away from Xbox, Xbox just bought the publisher (Bethesda). Okay Square Enix was happening at the same time but no, Sony should stop with the locking away. Really unnecessary now given that Xbox is giving away all their games.

@Lup 100% no player on any platform should take enjoyment from seeing others missing out. I understand why companies might want to do that for financial purposes.

@PSDeckSwitchOwner Yo just wanted to voice my support for your comments. These people don't want to listen to your simple and logical rational. Exclusives and acquisitions have always been a part of video games, these people just don't want Sony exclusives, they only want Nintendo exclusives and Microsoft Acquisitions and they want Sony to sit there and do nothing.
Edit: one of The worst part of modern gaming is gamers phony virtue signaling saying, I wish every game was not exclusive and then go back to their playing their exclusive game that made them buy a console.

1. Multi platform games are not being locked down by Nintendo. They own and release their own IPs which are of course exclusive. Just the same as Sony and Microsoft.
2. I have no loyalty to Nintendo, even though I love some of their IPs. I like my Link avatar but it’s not my favourite series.
3. Why are people arguing that games that are currently available to multiple platforms should be restricted to only a few platforms? I’m not supporting Microsoft doing it or Sony doing it.
There is no reason for gamers to argue for restricting games from others gamers unless it’s petty console wars.
